Governing Law and Choice of Forum
The Site and these Terms of Use will be governed and construed in accordance with the laws of the Province of Ontario and the federal laws applicable in that Province. Any action or proceeding arising out of or relating to this Site and under these Terms of Use will be instituted in the courts of the Province of Ontario and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceedings.
No Waiver
No failure by Source Material Entertainment Law to exercise any right arising from these Terms of Use is as a waiver of that right; nor does the partial exercise of any right preclude any other or further exercise of any other right.
Entire Agreement
These Terms of Use, our Privacy Policy and Disclaimer constitute the sole and entire agreement between you and Source Material Entertainment Law regarding your use of the Site and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter. If any term or provision of these Terms of Use is invalid, illegal or unenforceable such invalidity, illegality or unenforceability shall not affect any other term or provision of these Terms of Use. You may not amend these Terms of Use. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Use and neither party has any authority of any kind to bind the other in any respect.
